With effect from 21 September 2007, American depositary receipts (“ADRs”), each representing five ordinary shares (“Ordinary Shares”) in BG Group plc (the “Group”), no longer trade on the New York Stock Exchange (“NYSE”).  Any reference to the NYSE listing or trading of the ADRs, whether on this website or elsewhere, is no longer effective.  The Group has maintained its ADR programme and, commencing on 24 September 2007, the ADRs will be traded on the US over-the-counter market known as OTCQX in its International PremierQX tier.  The OTCQX publishes certain information about the Group on the OTCQX website for reference purposes only, and the OTCQX website should not be relied upon in making any investment decision.

On 20 December 2007,  the Group’s registration with the US Securities and Exchange Commission (“SEC”) under the Securities Exchange Act of 1934 (“Exchange Act”) was also terminated.  The Group’s SEC reporting obligations were permanently terminated on this date. The Group will accordingly no longer file reports with the SEC on Forms 20-F or 6-K or prepare a US GAAP reconciliation of its financial statements.  The Group expects to continue to use the SEC definition of proved reserves in reporting its proved oil and gas reserves in order to facilitate comparison with SEC-registered oil and gas companies.

The Ordinary Shares continue to be listed on the Official List of the UK Listing Authority (the “UKLA”) and to be traded on the London Stock Exchange’s market for listed securities.  The Company also continues to be subject to the UKLA Listing, Disclosure and Transparency Rules and to the Combined Code on Corporate Governance in the UK, and to maintain quarterly reporting.  The Group will continue publishing its Annual Report and Accounts, quarterly reports and other documents and communications in accordance with Exchange Act Rule 12g3-2(b) on this website.
